1. Acceptance of terms

By accessing or purchasing from heliabiolabs.com (“the Site”), you agree to these Terms of Service. If you do not agree, do not use the Site or purchase any products. YL Trading GmbH, a company registered in Cham, Switzerland, operating the Helia Bio Labs brand (“Helia,” “we,” “our”), operates the Site.

2. Eligibility

You must be at least 21 years old to use the Site or purchase products. By placing an order, you confirm that you are of legal age and that the materials are intended solely for laboratory research purposes.

3. Product use restrictions

All products sold on the Site are research compounds intended for laboratory and research use only. They are not for human or animal consumption, not for therapeutic or diagnostic purposes, and not for resale without prior written agreement. You agree to comply with all applicable federal, state, and local laws governing the possession, handling, and disposal of research compounds in your jurisdiction.

4. Intellectual property

All Site content — including text, product photography, illustrations, the Helia logo, and the certificates of analysis we publish — is owned by Helia or our partners and protected by copyright and trademark law. You may share and reference our content with attribution; you may not republish, alter, or use it commercially without our written permission.

5. Disclaimers

All products are provided “as is” for research purposes. We make no warranties, express or implied, regarding fitness for any particular purpose. Statements on the Site have not been evaluated by the U.S. Food and Drug Administration. No information on the Site constitutes medical advice.

6. Limitation of liability

To the maximum extent permitted by law, Helia is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Site or our products. Our total liability for any claim is limited to the amount you paid for the product giving rise to that claim.

7. Indemnification

You agree to indemnify and hold harmless Helia, its officers, employees, and affiliates from any claim arising from your use or handling of our products, including any claim that the products were used in a manner inconsistent with the research-use-only labeling.

8. Governing law

These Terms are governed by the laws of Switzerland, without regard to conflict-of-law principles. Disputes arising under these Terms are subject to the exclusive jurisdiction of the competent courts of the Canton of Zug, Switzerland.

9. Changes

We may update these Terms from time to time. Material changes will be noted at the top of this page along with a revised effective date. Continued use of the Site after a change constitutes acceptance of the revised Terms.

What we collect

• Account and order information you give us directly: name, email, shipping address, phone (optional), and the contents of any messages you send us.
• Transaction information related to purchases, including line items and order status. Helia accepts crypto only; cryptocurrency payments are processed by NOWPayments and we do not see or store any wallet credentials.
• Usage and device information collected automatically when you visit the Site — IP address, browser, pages visited, referring URL — strictly when you grant consent for analytics cookies.

Cookies and analytics

We use cookies to remember your cart and your age-gate acknowledgment. We also use first-party and third-party analytics cookies (Google Analytics 4, TikTok Pixel) only when you grant consent through the banner that appears on your first visit. You can revoke consent at any time; we never fire analytics or marketing tracking until consent is recorded.

How we use information

• To fulfill orders and provide customer service
• To verify age and prevent fraud
• To send transactional emails (order confirmations, shipping notifications)
• To send marketing emails — only to addresses that have opted in via the newsletter form
• To improve the Site and our products

Sharing

We share personal information with the service providers we need to run the business: NOWPayments for crypto checkout, shipping carriers, our email service provider, and the analytics vendors named above. We do not sell your personal information.

Your rights — GDPR (EU/UK)

If you are in the European Union or the United Kingdom, you have the right to access, correct, port, restrict processing of, or delete your personal information. To exercise these rights, email helia@heliabiolabs.com with the subject line “GDPR request.” The legal basis for processing is performance of a contract (orders), consent (marketing), and legitimate interests (fraud prevention, security).

Your rights — CCPA (California)

California residents have the right to know what personal information we collect, to delete that information, and to opt out of any “sale” of personal information. We do not sell personal information. To exercise California rights, email helia@heliabiolabs.com with the subject line “CCPA request.”

Data retention

We retain order records as long as required for tax and compliance purposes (generally seven years). Marketing consent is retained until you unsubscribe. Account data is deleted on request, except where retention is legally required.

Returns — 30 days

We accept returns within 30 days of delivery for items in new, unopened, unused condition in their original packaging. Return shipping is free: contact customer service and we provide a prepaid return label by mail. Once we receive and inspect the returned item, we issue a refund to your original payment method within 5 business days.

For safety and supply-chain integrity, opened or used vials cannot be returned to inventory and are not eligible for the standard 30-day return (see the lab-error and damaged-in-transit provisions below, which apply regardless).

Lab-error refunds

If the certificate of analysis for the batch you received does not match the compound or purity printed on the label, we issue a full refund or replacement at your choice. To file a lab-error claim, email helia@heliabiolabs.com with your order number, the batch ID, and a description of the discrepancy. Claims must be filed within 30 days of delivery.

Damaged in transit

If your shipment arrives with broken or compromised vials, email us within 7 days with a photograph of the damage. We ship a replacement at no charge.

What is not refundable

• Opened or used vials (returns are accepted only for unopened, unused items)
• Any item returned more than 30 days after delivery
• Products lost in transit if delivery was confirmed at the address you provided

Process

All refund requests go through customer service. Approved refunds are issued to the original payment method within 5 business days of approval. Crypto refunds are issued at the token equivalent of the original USD amount, calculated at the time of refund issuance.

Where we ship

Helia ships within the United States only at launch. International shipping is on the roadmap; for institutional partners outside the US, see wholesale.

Processing time

Orders placed before 1pm Central, Monday through Friday, typically ship the next business day. Orders placed on weekends or holidays ship the next business day. Orders that require additional age or identity verification may take an extra business day.

Carriers and transit

We ship via USPS Priority Mail or UPS Ground, depending on destination and order value. Typical transit time after dispatch is 3-5 business days. Tracking links are emailed when the label is created.

Discreet packaging

All shipments arrive in plain, unmarked outer packaging. No Helia branding appears on the outside of the box. The return address is a generic LLC name.

Address accuracy

We ship to the address you provide at checkout. We cannot re-route or refund shipments delivered to an incorrect address that was entered by the customer. If you notice an address error before the label is created, email us immediately at helia@heliabiolabs.com and we'll correct it where possible.

Lost packages

If tracking shows your package as delivered but you didn't receive it, contact us within 7 days. We coordinate with the carrier and, where the carrier accepts the loss, ship a replacement.

What “research use only” means

All products sold by YL Trading GmbH on heliabiolabs.com are research compounds intended exclusively for in vitro laboratory research and pre-clinical investigation. They are not pharmaceutical drugs. They are not food supplements. They are not for use in or on the human or animal body for any purpose, including but not limited to diagnosis, treatment, prevention, cure, mitigation of any disease or condition, or general wellness.

FDA status

The statements made on this Site about any product have not been evaluated by the U.S. Food and Drug Administration. These products are not approved by the FDA for human or veterinary use. None of the products on the Site are intended to diagnose, treat, cure, or prevent any disease.

Buyer responsibility

By placing an order you confirm:

• You are at least 21 years of age.
• You are purchasing for laboratory research purposes only.
• You will store, handle, and dispose of the products in accordance with applicable laboratory safety standards and local regulations.
• You will not administer the products to yourself, to any other person, or to any animal.
• You assume full responsibility for any use of the products beyond the research-use-only scope.

Compliance with law

You are responsible for ensuring that your purchase, possession, and use of the products comply with all federal, state, and local laws in your jurisdiction. Helia does not provide legal advice and reserves the right to refuse any order at our sole discretion.

Plain restatement

Helia Bio Labs sells research compounds. Helia Bio Labs does not sell medicine. If you are looking for medicine, you should be speaking to a licensed clinician, not us.
